Terms of Service

4.1 Creating an Account

To use the Service, you must register for an account by providing accurate and complete information including your name, email address, and business details. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.2 Google Account Connection

The Service requires you to connect your Google account(s) via Google OAuth 2.0. By doing so, you authorize Saay AI to:

• Access your Google Business Profile account information and associated locations.
• Read reviews and ratings associated with your connected business locations.
• Post review replies to your Google Business Profile on your behalf, only when you have reviewed and approved the reply within the Saay AI platform.
• Receive notifications about new reviews via Google's notification system.

You may revoke Saay AI's access to your Google account at any time through your Google Account security settings at myaccount.google.com. Revoking access will disconnect your Business Profile from the Service and may limit or disable certain features.

4.3 Account Security

You are responsible for safeguarding your Saay AI login credentials. You must notify us immediately at saay@saayai.com if you suspect unauthorized access to your account. Saay AI will not be liable for any loss or damage resulting from unauthorized use of your account.

5.1 Subscription Plans

Access to the Service is provided on a subscription basis. Available plans, pricing, and features are described on the Saay AI pricing page at saayai.com/pricing. We reserve the right to change pricing with reasonable notice.

5.2 Billing Cycle

Subscriptions are billed on a monthly or annual basis, as selected at the time of purchase. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Payment

You authorize Saay AI to charge your designated payment method for all fees due. All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for providing accurate billing information and keeping it up to date.

5.4 Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

5.5 Free Trials

We may offer free trials at our discretion. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period ends. We will notify you before any charges are applied.

5.6 Late Payments and Suspension

If payment fails, we may suspend or restrict access to your account until payment is received. We will make reasonable attempts to notify you before suspension.

7.1 Human Approval Required

All AI-generated review replies are drafts for your review. Saay AI will never automatically post a reply to your Google Business Profile without your explicit approval. You are solely responsible for reviewing, editing, and approving any reply before it is posted.

7.2 Accuracy of AI Replies

AI-generated content is produced by language models and may not always be accurate, appropriate, or perfectly aligned with your brand voice. You should always review AI replies before approving them. Saay AI makes no warranty that AI-generated content will be error-free, suitable for your business, or compliant with any specific standards.

7.3 Your Responsibility for Posted Content

Once you approve and post a reply through Saay AI, you are solely responsible for its content. Saay AI is not liable for any consequences arising from review responses you choose to post, including disputes with customers, reputational damage, or violations of third-party policies.

7.4 Intellectual Property of AI Replies

AI-generated replies created through the Service are provided to you for use in managing your business reputation. You retain ownership of the final reply content once approved and posted.

8.1 Your Data

You retain ownership of all data associated with your Google Business Profile, including review content, reviewer information, and business information. Saay AI accesses this data solely to provide the Service on your behalf.

8.2 How We Handle Your Data

We store your Google OAuth tokens in encrypted form to enable ongoing access to your Business Profile. We fetch and store review data to power your dashboard. We do not sell your data to third parties. For full details on data collection, storage, and use, please refer to our Privacy Policy.

8.3 Google's Terms

Your use of Google Business Profile through Saay AI is also subject to Google's Terms of Service and Google Business Profile policies. You are responsible for ensuring your use of the Service complies with Google's requirements. Saay AI is not responsible for changes to Google's APIs, policies, or services that affect the functionality of the Service.

8.4 Data Retention on Disconnection

If you disconnect your Google account or cancel your subscription, we will retain your data for up to 30 days before deletion to allow for account recovery. After that period, your data will be permanently deleted from our systems. You may request immediate deletion by contacting us at saay@saayai.com.

9.1 Saay AI's IP

The Service, including its software, design, features, trademarks, and all related content created by Saay AI, is owned by Saay AI Technologies and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Saay AI's trademarks, logos, or branding without prior written consent.

9.2 Your IP

You retain all intellectual property rights in your business information, review responses, and any content you create using the Service. By using the Service, you grant Saay AI a limited, non-exclusive license to access, process, and display your content solely for the purpose of providing the Service to you.

9.3 Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant Saay AI a royalty-free, perpetual, irrevocable license to use that feedback for any purpose without any obligation to compensate you.

10.1 Service Provided As-Is

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SAAY AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10.2 Google API Dependency

The Service depends on Google Business Profile APIs, which are controlled by Google. Saay AI does not guarantee continued availability of Google API access, and any changes, restrictions, or discontinuation of Google's APIs may affect the Service. We are not liable for disruptions caused by Google's API changes or outages.

10.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAAY AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF SAAY AI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SAAY AI'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE MONTHS PRECEDING THE CLAIM.

10.4 Indemnification

You agree to indemnify, defend, and hold harmless Saay AI and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) content you post through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11.1 Termination by You

You may cancel your subscription and terminate your account at any time through your account settings or by contacting saay@saayai.com. Cancellation takes effect at the end of your current billing period.

11.2 Termination by Saay AI

We may suspend or terminate your account immediately and without notice if:

• You materially breach these Terms.
• You engage in fraudulent, abusive, or illegal activity.
• Continuing to provide the Service to you creates legal or security risks for Saay AI or other users.
• You fail to pay fees when due after reasonable notice.

11.3 Effect of Termination

Upon termination, your access to the Service will cease immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimers, indemnification, and governing law — will continue to apply.

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of: the State of Louisiana, United States of America without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration or the competent courts of the jurisdiction specified in Section 12.1.

12.3 Class Action Waiver

To the extent permitted by applicable law, you agree to resolve disputes with Saay AI on an individual basis only. You waive any right to bring or participate in a class action, collective action, or representative proceeding against Saay AI.

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Saay AI regarding the Service and supersede all prior agreements, representations, and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

13.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Saay AI may assign these Terms in connection with a merger, acquisition, or sale of assets.

13.5 Force Majeure

Saay AI shall not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.

13.6 Changes to the Service

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
